Integrity management

  In order to reduce the risk of corporate corruption, in addition to setting conflict of interest rules in the "Rules of Procedure for Board Meetings", Everest [A1] also refers to the "Integrity Code for Listed Companies" formulated by the Taiwan Stock Exchange, and has established the "Integrity Management Code" and "Ethical Code of Conduct", which are reviewed every two years. 

  In addition, adhering to the core concept of "integrity, teamwork, persistence, and innovation", combined with the "Integrity Management Code", "Ethical Code of Conduct" and other codes of conduct, an appropriate remuneration system, a sound internal control system, and operating methods (including management policies, authorization system and functional division of labor and other measures) and other norms, and supplemented by internal audit operations to ensure control. 

  Everest has established a reporting channel for stakeholders to report corruption and other illegal acts, and has an independent investigation mechanism to conduct relevant investigations and verification actions. Employees can report through the audit office mailbox. No report was received in 2024. 

  The monitoring operations of "Board Meeting Management Operation" and "Remuneration Committee Operation" have been implemented to verify whether the Board of Directors' conflict of interest management and the operation of the Remuneration Committee comply with regulations.  [A1]Please confirm if Guang Holdings is actually Everest.

  In order to improve the formulation and supervision of integrity management policies and prevention plans, the corporate governance director and human resources department under the Board of Directors are committed to the promotion and operation of corporate integrity management, responsible for the formulation and supervision of integrity management policies and prevention plans, and report to the Board of Directors once a year (November 6, 2024).

Integrity management and anti-corruption management system

The company's reporting and handling procedures are as follows: 

  1.  The company should immediately ask the person being reported to immediately cease the relevant behavior and take appropriate measures in accordance with applicable laws and the company’s internal regulations.
  2. The company's operations adhere to the principle of zero malpractice. If the company's personnel use their positions to obtain improper benefits for themselves or others, causing losses to the company, in addition to being dismissed, they should fully compensate the company for all resulting losses to protect the company's reputation and rights. 
  3. The acceptance of reports, the investigation process, and the results of the investigation should be documented in writing and retained for five years. The preservation can be done in electronic form. Before the expiration of the preservation period, if a lawsuit related to the reported case occurs, the relevant information should continue to be preserved until the end of the lawsuit. 
  4. If the report is verified to be true, the relevant units of the company should be responsible for reviewing the relevant internal control system and operating procedures, and propose improvement measures to prevent the same behavior from happening again.  ▌Code of Ethical Conduct 

  In order to guide the behavior of the company's directors, managers and other employees to comply with ethical standards and help stakeholders better understand them, Everest has established a "Code of Ethical Conduct" to prevent conflicts of interest, self-dealing, and leakage of confidential information, and regularly organize education and promotion activities related to the code. If company personnel suspect or discover violations of laws, regulations or this code, they should proactively report to managers, internal audit supervisors, or other appropriate supervisors, provide sufficient information for the company to follow up, and all reported matters will be independantly verified and kept confidential to protect the reporter. This code is also disclosed on the company's website, annual report, public statement and public information observation station. n No corruption incidents occurred in 2024.

  When new employees join the company, in addition to using the "Integrity Management Code" and "Ethical Code of Conduct" as anti-corruption propaganda, the company also includes a three-hour "Corporate Ethics" course in the new employee training, and clearly includes "Anti-bribery Clauses" in procurement contracts to prohibit employees from accepting kickbacks, commissions or other forms of compensation. For colleagues who have dealings with government officials, the anti-corruption applicability and risk assessment mechanism is activated to avoid corruption. In addition, new employees receive an explanation of the "Prevention of Insider Trading" case to prevent employees from using undisclosed information and accidentally violating insider trading regulations.

◉ Regulatory Compliance

  The company operates in compliance with relevant domestic and foreign laws and regulations, monitors policy trends and regulatory changes continuously, collects relevant information for management decision-making reference, fully understands and responds to changes in the market environment, and adjusts the company's relevant operating strategies in a timely manner. The company's major violations are defined as more than 1 million TWD. There was 1 violation in 2024, and no major violations of more than 1 million TWD occurred. One violation was a violation of Article 24 of the Labor Standards Act: Extended working hours without paying additional wages as required by law. The company immediately addressed the issue, proposed corrective and preventive measures, and will pay attention to avoid recurrence in the future.
